TERMS AND CONDITIONS OF USE

1. Service Provider Identification

These Terms and Conditions of Use (hereinafter, the "Terms") regulate the access and use of the Manglai platform, owned by Sustainability Solutions S.L., with registered office at Calle de Buenos Aires 38, 08036 Barcelona (Spain), and NIF B70683883 (hereinafter, "Manglai" or the "Company").

2. Purpose and Scope of Application

These Terms regulate the access, browsing, and use of Manglai's SaaS platform, as well as its associated services, functionalities, and content.

These Terms shall apply to all users who access or use the platform, unless there is a software license agreement or other written and signed agreement with Manglai. In such a case, the specific agreement shall prevail over these Terms.

3. Service Description

Manglai provides an artificial intelligence-powered environmental management platform that enables, among other things, the calculation, analysis, and management of carbon footprint, waste, water, product footprint, logistics, and ESG metrics, in accordance with the contracted plans and modalities.

Manglai may modify, update, or improve the service to ensure its proper functioning, security, and technological evolution.

4. Platform Access and Use

The user undertakes to use the platform diligently, in accordance with the law, good faith, and these Terms.

It is expressly prohibited to:

• Use the platform for unlawful or unauthorized purposes
• Attempt to access systems, accounts, or data without authorization
• Reproduce, copy, modify, or exploit the platform beyond the permitted scope
• Introduce malicious code or perform actions that compromise the security of the service

Manglai reserves the right to suspend or limit access in case of misuse or breach of these Terms.

5. Intellectual and Industrial Property

The platform, software, source code, algorithms, models, designs, trademarks, content, and associated documentation are the exclusive property of Manglai or its licensors.

Access to or use of the platform does not confer any intellectual or industrial property rights, except for the limited right of use in accordance with these Terms or the applicable agreement.

6. Confidentiality

All non-public information to which the user has access within the scope of using the service shall be confidential.

The user undertakes to:

• Not disclose such information to third parties without authorization
• Use it exclusively for the purposes of the service
• Adopt reasonable measures to protect it against unauthorized access

These obligations shall survive even after the termination of platform use.

7. Personal Data Protection

The processing of personal data shall be governed by Manglai's Privacy Policy, available at: https://www.manglai.io/privacy

When Manglai acts as a data processor, data processing shall be governed by the corresponding data processing agreement in accordance with Regulation (EU) 2016/679 (GDPR).

8. Information Security

Manglai implements appropriate technical and organizational measures to protect the confidentiality, integrity, and availability of information, in accordance with its Information Security Management System (ISMS).

The user undertakes to respect these measures and to notify any unauthorized use or security incident of which they become aware.

9. Liability

Manglai shall not be liable for:

• Service interruptions due to external causes or force majeure
• Damages resulting from improper use of the platform
• Decisions made by the user based on the results, reports, or analyses generated by the platform

In no event shall Manglai's liability exceed the limits established in the applicable agreement, if any.

10. Service Suspension and Termination

Manglai may suspend or cancel access to the platform in case of breach of these Terms.

The user may cease using the service at any time, without prejudice to existing contractual obligations.

10 bis. Service Suspension for Non-Payment

Manglai reserves the right to temporarily suspend or limit access to the platform in case of non-payment, delay in fulfilling financial obligations, or breach of applicable billing conditions.

The suspension may be maintained until the non-payment situation is regularized, without generating any right to compensation for the user.

When a specific contract is signed between the parties, the suspension of service for non-payment shall additionally be governed by the provisions of that contract.

11. Modification of Terms

Manglai reserves the right to modify these Terms. Modifications will be published on this page and will be applicable from their publication.

12. Applicable Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with Spanish law.

For any dispute arising from the access or use of the platform, the parties submit to the competent Courts and Tribunals in accordance with the law.
